By Laws of PG Citizens

Article I  Name

This Association, named “Citizens for a Better Prince George’s County”, or sometimes referred to as “PG Citizens”, is hereby established as an unincorporated association which operates on a non-partisan, non-profit basis as set forth in these by-laws.

 

Article II Mission

The mission of PG Citizens is to work to improve the quality of life of all citizens of Prince George’s County, Maryland, such as by assuring honest, transparent government and respecting the lawful and efficient operation of the Charter and laws of Prince George’s County and the State of Maryland.

 

Article III Membership

Membership in PG Citizens shall consist of all those citizens of Prince George’s County who have paid at least $100 to the Association during the past 12-month period of time.  Any member so qualified who becomes delinquent in such payment shall be dropped from such membership, until and unless such payment is made to regain active status.

 

Article IV Funding

Funds to conduct the Association’s mission shall come from member payments and other contributions.  Fundraising shall be conducted to support pertinent projects of the Association, as agreed to by consensus among the Association’s membership.  

 

Article V Board of Directors

The Association shall be operated under the authority of a Board of Directors consisting of active Association members who have submitted a written statement of commitment to serve on the Board in accordance with these By-laws. Until such Board becomes designated, Lee Havis, residing at 6812 Dartmouth Ave., College Park, MD 20740, pg@patriotvoting.com, is designated at sole member and chairman, for the purpose of initiating all Association business.

Article VI Officers

The Board shall be under the direction of a Chairman, who may designate other officers and committees, such as an executive committee, from among Board members, as seems suitable in accordance with these By-laws.

 

Article VII Voting and Decision-making

The Board shall make all decisions by consensus, which means general affirmative agreement, with no significant opposition.  [Significant opposition, if any, must be affirmed in writing to the Chairman, who shall then reconcile such opposition with other Board members, until a suitable consensus is finally reached]

 

Article VIII Function of Chairman

The Chairman shall direct all Association activity, speak on its behalf of the Board before the general public, and otherwise conduct its regular operation under these By-laws.  All major decisions, including expenditure or commitment of association funds, shall be submitted to the Board in advance for approval, with sufficient time and opportunity for discussion and comment.

 

Article IX By-law Amendments

These By-laws may be amended at any time with advance written notice to all Board members, with reasonable opportunity for discussion and comment to assure a consensus decision.

 

Article X Initial Status

The initial Association address shall be c/o Lee Havis, 6812 Dartmouth Ave., College Park, MD 20740.  The present sole Board member is Lee Havis, residing at this address, who shall also  serve as Chairman with authority to establish a suitable bank account to receive, hold, and allocate funds consistent with these by-laws.
